Important: CPA Plus AI, LLC ("CPAPlus.AI," "we," "us," or "our") is a technology and consulting company that operates a referral and matching platform connecting clients with independent, licensed CPA professionals. CPAPlus.AI is not an accounting firm and does not provide accounting, tax preparation, or attestation services directly. Tax preparation and related professional services are provided solely by the independent CPA partners in our network.
By accessing or using the CPAPlus.AI website, services, or platform (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services. You must be at least 18 years of age to use our Services.
CPAPlus.AI provides the following services:
The CPA partners in our network are independent professionals who operate under their own business entities and maintain their own professional licenses, insurance, and client agreements. CPA partners are not employees, agents, or representatives of CPAPlus.AI.
When you use our CPA matching service:
CPAPlus.AI's service is considered fulfilled upon providing you with a CPA match. CPA partners in our network operate under service standards established through our network agreements.
By using our Services, you agree to:
CPA Matching Services: Fees for tax preparation services are paid directly to your matched CPA partner. Price estimates provided through our platform are for informational purposes; final pricing is determined by and payable to the CPA partner based on the actual scope of work.
Consulting Services: For consulting and technology services provided directly by CPAPlus.AI, fees and payment terms are established in separate engagement agreements specific to each project.
You acknowledge and agree that:
Before Matching: Either party may discontinue use of the matching service at any time prior to a match being made, with no further obligation.
After Matching: Once you have been matched with a CPA partner, the tax preparation service relationship exists between you and that CPA partner. If issues arise with your CPA partner, you should first attempt to resolve them directly with the CPA. CPAPlus.AI may, at its sole discretion, assist in facilitating communication or offer to match you with an alternative CPA partner if circumstances warrant.
Termination for Cause: CPAPlus.AI reserves the right to terminate your access to our Services immediately if you violate these Terms, provide false information, or engage in fraudulent or abusive conduct.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CPAPlus.AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPAPlus.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
CPAPlus.AI's total liability for any claims arising from or related to these Terms or our matching services shall not exceed the fees, if any, paid by you to CPAPlus.AI for the matching service in question.
CPAPlus.AI shall have no liability whatsoever for the acts, omissions, errors, advice, work product, or professional services provided by any CPA partner, including but not limited to any tax positions taken, penalties assessed, or IRS or state tax authority actions.
You agree to indemnify, defend, and hold harmless CPAPlus.AI and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of our Services, your violation of these Terms, or your violation of any rights of another party.
All content, features, and functionality of our Services—including but not limited to text, graphics, logos, icons, images, software, and the design and arrangement thereof—are the exclusive property of CPAPlus.AI or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any portion of our Services without our prior written consent.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be settled by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in Sacramento County, California. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver: You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.
Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
We may update these Terms of Service from time to time to reflect changes in our practices, services, or applicable laws. Any updates will be posted on this page with a revised effective date. Your continued use of our Services following any changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and CPAPlus.AI regarding your use of our CPA matching services and supersede any prior agreements or understandings. Separate engagement agreements govern consulting and technology services provided directly by CPAPlus.AI.
